Publishing & Distribution Agreement — Draft for Legal Review

Draft for legal review; do not treat as an executed agreement.

Parties and acceptance

This proposed agreement is between Sonentra LLC, operating Page2Digital, and the author or publisher identified in their account. The final agreement should record the accepted version, acceptance timestamp and authorized signatory.

1. Ownership and authority

The publisher retains copyright and ownership of their works and warrants they have the necessary rights to distribute text, covers, illustrations, translations, metadata and other supplied material, including all third-party licenses.

2. Proposed distribution license

For accepted titles only, the publisher grants a non-exclusive, worldwide, sublicensable-to-approved-retailers license limited to reproducing, converting, transmitting, displaying, marketing, selling and making the work available as reasonably necessary for agreed distribution. No copyright assignment is intended.

3. Submission and quality review

Submissions must meet format, metadata, ISBN, territorial rights and content standards. Page2Digital may request corrections or reject submissions. Retailers independently decide whether to list titles; delivery and sales are not guaranteed.

4. Royalties

Of net royalties actually received by Page2Digital from retailers for eligible sales, 90% is allocated to the publisher and 10% retained by Page2Digital. Retailer discounts, commissions, taxes withheld, refunds, chargebacks, currency conversion and other permitted adjustments may reduce amounts received. Final definitions, statements, payment frequency, payout thresholds and audit rights must be completed before signing.

5. Withdrawal

The publisher may request withdrawal of a title. Page2Digital will transmit removal requests to supported retailers, but processing times and continued fulfillment of earlier orders depend on each retailer. Outstanding adjustments and rights claims may survive withdrawal.

6. Infringement and disputes

The publisher must promptly respond to substantiated rights complaints. Page2Digital may temporarily withhold disputed proceeds where legally justified and subject to a documented review process. Final indemnity and dispute provisions require counsel review.

7. Changes and termination

Material changes to royalty terms should apply prospectively with clear notice and affirmative acceptance where required. Free-period submissions will not receive retroactive distribution charges.
